Transaction and data room sweeps

During a transaction, the value of knowing the other side's position is measured in millions. The rooms where that position is discussed are worth targeting, and they are frequently in venues neither party fully controls.

// Transaction coverage
  • Data rooms and negotiation spaces swept before occupation and held under seal.
  • Advisor premises where legal and financial advisors host sessions on your behalf.
  • Repeat sweeps across the transaction window rather than a single pre deal check.
  • Executive vehicles and accommodation used by the deal team during the process.
  • Reporting under transaction confidentiality to named individuals only.

Where transaction information is exposed

Deal teams are careful about documents and careless about rooms. Material is encrypted, access controlled and watermarked, then discussed aloud in a meeting room in a building nobody has assessed.

The exposure concentrates in predictable places. The physical data room. Advisor offices hosting sessions. Hotel meeting rooms booked for a day. Vehicles carrying the deal team between sessions, where the frankest conversations of the entire process usually happen.

Sweeping across the window, not once

A transaction is not an event, it is a period, often running months with many parties cycling through the same spaces. A sweep at kickoff covers the first day.

The effective pattern is repeat sweeps at defined points, weighted to moments where the information is most valuable: before the first substantive session, before price discussions, and before final negotiation. Between sweeps, rooms under your control are held under seal with tamper indicators and access logging.

Working with advisors and counterparties

Transactions involve spaces you do not control. Where a session is hosted at an advisor's premises or a counterparty's office, we can sweep with the host's agreement, which is usually straightforward because it is in everyone's interest.

Where access is not available, we advise on what that means practically and where to hold the genuinely sensitive conversations instead. Sometimes the right answer is not sweeping the room but choosing a different one.

// FAQ

Common questions

When in a transaction should sweeps happen?
At minimum before the first substantive session in any physical data room, and before final negotiation. For high value transactions, repeat sweeps at defined points across the window with rooms sealed in between.
Can you sweep a counterparty's or advisor's premises?
With the host's agreement, yes, and it is usually readily given since both sides benefit. Where access is not possible we advise on alternative arrangements for sensitive discussion.
Is this different from cyber due diligence?
Entirely. Cyber due diligence assesses the target's information systems. This protects your own deal team's spoken discussions and physical spaces during the process. They address different attack surfaces.
How confidential is the engagement itself?
Absolutely. We work under transaction confidentiality, report to named individuals only, and our attendance is arranged so it does not signal to anyone that a transaction is underway.
